End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("EULA") is a legally binding agreement between you ("User," "You," or "Licensee") and Point3 Software Limited ("Company," "We," "Us," or "Our"), a company registered in the United Kingdom with registered office address at p3s.dev.

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING P3TORRENT (THE "SOFTWARE"), YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA IN ITS ENTIRETY AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.

2. Software Description

P3Torrent is a desktop application that enables users to download files using BitTorrent protocol and Magnet links. The Software is provided in an "as-is" condition and may contain features that are under active development, including but not limited to those identified as beta, pre-release, or early-access features.

3. License Grant

3.1 Limited License

Subject to your compliance with all terms and conditions of this EULA, Point3 Software Limited grants you a non-exclusive, non-transferable, revocable license to download and install the Software on one or more personal computers or devices owned or controlled by you, and to use the Software in accordance with this EULA and applicable laws.

3.2 License Restrictions

You agree that you will NOT:

• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works based on the Software
• Rent, lease, loan, sell, transfer, assign, or sublicense the Software to any third party
• Use the Software for any commercial purpose without explicit written authorization from Point3 Software Limited
• Circumvent, disable, or interfere with any security features or protections of the Software
• Remove, obscure, or alter any proprietary notices, labels, or marks on the Software
• Use the Software in any manner that could damage, disable, or impair the Software or servers
• Use the Software to download, distribute, or facilitate the distribution of copyrighted content, malware, or illegal materials

4. Ownership

The Software, including all intellectual property rights, source code, object code, design, structure, organization, and all documentation, is owned exclusively by Point3 Software Limited or its licensors. You do not acquire any ownership rights in the Software. Your license is limited to the rights expressly granted in this EULA.

5. User Responsibilities

5.1 Legal Compliance

You agree to use the Software only in compliance with all applicable laws, regulations, and third-party rights. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SOFTWARE AND ANY CONTENT YOU DOWNLOAD COMPLIES WITH ALL APPLICABLE LAWS, INCLUDING BUT NOT LIMITED TO COPYRIGHT, INTELLECTUAL PROPERTY, AND DATA PROTECTION LAWS.

5.2 Prohibited Uses

You agree NOT to use the Software to:

5.3 Content Responsibility

Point3 Software Limited is not responsible for the content you download or the consequences of your downloads. The Software is merely a tool that facilitates peer-to-peer file sharing. You are solely responsible for:

• All files you download, upload, or distribute
• Verifying the legality of any content before downloading
• Obtaining proper licenses or permissions for any copyrighted content
• Any legal consequences arising from your use of the Software
• Protecting your computer from malware and other security threats

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

Point3 Software Limited does not warrant that:

• The Software will be error-free, uninterrupted, or free of harmful components

• Any defects or errors in the Software will be corrected

This EULA is provided for early-access/beta/pre-release purposes. The Software may contain bugs, defects, and other issues. Your use of the Software assumes acceptance of these limitations.

7. Limitation of Liability

7.1 Specific Exclusions

Point3 Software Limited shall not be liable for:

• Any data loss, corruption, or unauthorized access to your files

• Any legal claims, fines, or penalties resulting from your use of the Software

7.2 Liability Cap

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL POINT3 SOFTWARE LIMITED'S TOTAL LIABILITY TO YOU UNDER THIS EULA, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE, IF ANY. IF YOU HAVE NOT PAID FOR A LICENSE, POINT3 SOFTWARE LIMITED'S LIABILITY SHALL BE ZERO.

8. Indemnification

You agree to indemnify, defend, and hold harmless Point3 Software Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or relating to:

• Your violation of any applicable laws or regulations
• Your violation of any third-party intellectual property rights
• Your violation of any terms of this EULA
• Your use of the Software in any manner not expressly authorized by this EULA
• Any content you download, upload, or distribute using the Software
• Any claims that you infringed upon the rights of any third party
• Any harm caused by your use of the Software or content obtained through it

9. Termination

9.1 Termination by You

You may terminate your license at any time by uninstalling the Software and ceasing all use. Upon termination, all rights granted to you under this EULA shall cease immediately.

9.2 Termination by Point3 Software Limited

Point3 Software Limited may terminate or suspend your license immediately and without notice if:

• You violate any material provision of this EULA
• You use the Software for any illegal purpose or to facilitate illegal activities
• You attempt to reverse engineer, decompile, or otherwise circumvent the Software
• You distribute copyrighted content or engage in piracy
• Your actions pose a risk to the security or integrity of networks or systems

9.3 Effect of Termination

Upon termination, all rights granted to you cease immediately. You must uninstall the Software and destroy all copies. Sections 4, 6, 7, 8, 10, 11, 12, and 13 shall survive termination.

10. Third-Party Content and Services

The Software may facilitate downloading content from third-party sources. Point3 Software Limited is not responsible for the quality, legality, safety, or availability of any third-party content or services. Your use of third-party content is subject to the terms and conditions of those third parties and all applicable laws.

11. Updates and Modifications

Point3 Software Limited may, at its sole discretion, update, modify, suspend, or discontinue the Software at any time with or without notice. We are not obligated to provide updates or continued support for older versions. Updates may change the functionality, features, or compatibility of the Software.

12. Privacy and Data Collection

13. Governing Law and Jurisdiction

This EULA shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to this EULA shall be brought exclusively in the courts located in the United Kingdom, and you hereby consent to the exclusive jurisdiction and venue of such courts.

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of Point3 Software Limited to enforce any provision of this EULA shall not be deemed a waiver of that provision or any other provision.

14. Severability

If any provision of this EULA is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

This EULA constitutes the entire agreement between you and Point3 Software Limited regarding the Software and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, relating to the subject matter of this EULA. No course of dealing, course of performance, or trade usage shall modify any provision of this EULA.
